License Agreement

This License Agreement ("License") governs your use of the digital template files, including but not limited to flat sketch templates, tech pack templates, and Procreate brush packs (collectively, the "Files") purchased from Apex Studios via [byapexstudios.com]. By purchasing and/or downloading the Files, you ("Licensee," "you") agree to the terms below.

1. Grant of License

Subject to your compliance with this License and full payment, Apex Studios grants you a non-exclusive, non-transferable, worldwide license to use the Files for the purposes described in Section 2.

2. Permitted Uses

You may:

Use the Files to create flat sketches, technical drawings, mockups, and design assets for your own clothing brand or your freelance/client design work;
Edit, customize, recolor, and modify the Files to develop your own original garment designs;
Use designs created with the Files in connection with garments you manufacture and sell commercially, including on physical products, packaging, lookbooks, and marketing materials;
Use the Files for an unlimited number of your own personal or business projects, with no limit on commercial revenue generated from designs created using them.

3. Prohibited Uses

You may not:

Resell, redistribute, share, sublicense, rent, lease, or give away the Files themselves — whether unmodified, edited, or repackaged — as standalone templates, in a bundle, or as part of any product where the Files (or recognizable derivatives of them) are the primary deliverable;
Upload the Files to any public or shared repository, template marketplace, stock asset site, or file-sharing service;
Claim authorship or ownership of the Files or templates themselves;
Use the Files to create a competing template pack or design resource product;
Share your purchased Files with other individuals or businesses who have not purchased their own license (e.g., other designers, employers, or clients), except as permitted under Section 4.

4. Team and Client Use

If you purchased on behalf of a business, the Files may be used by employees or contractors working directly on that business's own designs, provided the Files are not distributed further outside that engagement. If you are a freelance designer producing final garment designs for a client, you may deliver the finished designs (not the raw template Files) to that client.

5. Ownership

Apex Studios retains all intellectual property rights, including copyright, in and to the Files. This License gives you the right to use the Files as described above — it does not transfer ownership of the Files to you.

Original designs you create using the Files (i.e., your finished garment designs, once modified and applied to your own products) belong to you.

6. No Warranty

The Files are provided "as is." We do not guarantee that the Files will be error-free, compatible with every version of every design app, or suitable for every specific use case. Please review file formats and compatibility notes on each product listing before purchasing.

7. Termination

This License automatically terminates if you breach any of its terms, including the prohibited uses in Section 3. Upon termination, you must stop using the Files and delete all copies in your possession.

8. Limitation of Liability

To the maximum extent permitted by law, Apex Studios' total liability arising from this License will not exceed the amount you paid for the relevant Files. We are not liable for any indirect, incidental, or consequential damages arising from your use of the Files.

9. Changes to This License

We may update this License from time to time for future purchases; the version in effect at the time of your purchase governs your use of the Files you bought under it, unless a later version is more permissive and we choose to apply it retroactively.
