By accessing the Site or purchasing a Product, you agree to be bound by these Terms. If you do not agree, please do not use the Site or purchase our Products.

2. Products and Digital Delivery

2.1 All Products sold by Apex Studios are digital downloads — including PNG files, Procreate brush files, and vector files for Adobe Illustrator, depending on the Product. No physical goods are shipped.

2.2 Upon successful payment, you will receive access to download your Product files, typically via an automated download link and/or email delivery.

2.3 We make reasonable efforts to describe our Products accurately, including file formats and compatible software, but we do not guarantee that every Product will be compatible with every device, app, or software version. Product listings specify supported formats (e.g., PNG, Procreate .brush, vector files) — please review these before purchasing.

2.4 Use of Product files is governed separately by our License Agreement, which forms part of these Terms.

3. Pricing and Payment

3.1 All prices are listed in [CURRENCY, e.g. USD] and are subject to change without notice. The price charged will be the price displayed at the time you complete checkout.

3.2 Payment is processed securely through Shopify's payment infrastructure and/or our designated third-party payment processors. We do not store your full payment card details.

3.3 We reserve the right to refuse or cancel any order at our discretion, including in cases of suspected fraud, pricing errors, or unauthorized use of promotional codes.

4. Refund and Cancellation Policy

4.1 Because our Products are digital downloads delivered instantly upon purchase, all sales are final and non-refundable, except where required by applicable consumer protection law.

4.2 If you experience a technical issue with your download (e.g., corrupted file, failed delivery, missing files from a bundle), contact us at [Hello@byapexstudios.com] within [12] days of purchase and we will resolve the issue or provide a replacement file.

4.3 Nothing in this section limits any non-excludable rights you may have under applicable consumer protection law, including rights relating to goods or digital content that are faulty, not fit for purpose, or materially different from their description.

5. Intellectual Property

5.1 All content on the Site — including logos, branding, product photography, website copy, and the Site design itself — is owned by Apex Studios and protected by copyright and other intellectual property laws.

5.2 Your rights to use the Product files themselves (the flat sketch templates, brushes, etc.) are governed by our separate License Agreement.

5.3 You may not copy, reproduce, or redistribute any part of the Site's design, branding, or written content without our prior written permission.

6. Prohibited Conduct

You agree not to:

Share, resell, sublicense, or redistribute Product files outside the terms of the License Agreement;
Use the Site for any unlawful purpose or in violation of these Terms;
Attempt to gain unauthorized access to the Site, our systems, or other users' accounts;
Upload malicious code or interfere with the Site's normal operation;
Use automated means (bots, scrapers) to access the Site without our permission.

7. Third-Party Services

Our Site is hosted on Shopify and may use third-party tools for payments, analytics, email marketing, and customer support. Your use of these integrated services is also subject to those providers' own terms and privacy practices.

8. Disclaimer of Warranties

To the maximum extent permitted by law, the Site and Products are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Apex Studios will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or Products, even if advised of the possibility of such damages. Our total liability for any claim arising from these Terms or your purchase will not exceed the amount you paid for the relevant Product.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
